Defence & Logistics

Protecting the way we live and the infrastructure that enables us to go about our daily lives

At this time of heightened global and regional tensions, the development and ownership of key technologies and intelligence will shape outcomes.  And while innovative start-ups and SMEs are applauded for addressing some of the major defence challenges of our time, accessing the right type of finance at the right time all the way through to exit is not straightforward.  Morphose works with defence and national security clients long-term, helping them shape and streamline their business to maximise funding options for each stage of their growth right through to exit negotiation and successful completion.  We aim to offer clear and practical, solutions-based advice to help clients successfully navigate regulatory challenges and identify growth opportunities within the defence and security marketplace.

Capital Raising and Strategic Advisory

For defence and national security SMEs to succeed in today’s cautious funding environment, they need a sustainable flow of adequate funds in order to accelerate R&D and the development and commercialisation of competitive products. Morphose has an extensive network of private, industry and institutional investors, and helps clients find the right investors for their business with similar vision, timeframe and investment objectives. Being from defence backgrounds we actively engage with government bodies to understand their defence priorities, the criteria for its accelerator schemes and also some of the policy constraints of raising funds for sensitive technologies.  For longer term investment requirements we work with patient capital funds that can help high potential defence businesses grow and scale over a period of time.  We also have access to a wide and experienced network of angel investors with established defence portfolios as well as institutional and industry investors who can offer debt restructuring, equity finance and industry expertise and reach.

Defining and Delivering the Right Exit Strategy

Defence merger and acquisition activity was particularly buoyant in 2023, increasing 14.2% over 2022, and we anticipate this continuing through 2024 and into 2025.  We work closely with defence and national security SMEs to help shape and execute successful exit strategies by drawing on our in-house expertise and sizeable network of defence partners, private and institutional investors. Our defence advisors come from defence backgrounds and work closely with government and defence organisations so can provide real insight into the regulatory framework and the security policies surrounding the funding, disposal and acquisition of defence infrastructure and interests in the UK.  We provide support throughout the deal process, from identifying the optimum exit partner or strategy, negotiating the deal structure and upholding the valuation through complex transactions to completion.
